1. DEFINITIONS
nuradvisors.com is the web site maintained on the World Wide Web by Nur Advisors, LLC. “The site” or “site” refers to nuradvisors.com. “User,” or collectively “Users,” refers to any party who accesses the site. “Nur Advisors” refers to Nur Advisors, LLC. “Access” means viewing or otherwise obtaining information located on nuradvisors.com “Agreement” refers to these Terms of Use and any subsequent modification.

12. INDEMNIFICATION
User understands and agrees that he or she is personally responsible for his or her behavior on this site. User agrees to indemnify, defend, and hold harmless Nur Advisors, its directors, officers, employees, agents, and assigns from and against all losses, expenses, damages, costs (including, but not limited to, direct, incidental, consequential, exemplary, punitive, and direct damages), reasonable attorneys’ fees, resulting from or arising out of the User’s use, misuse, or inability to use the site or any violation by the User of this Agreement.

13. TERMINATION OF AGREEMENT
Either Nur Advisors or User may terminate this Agreement at its discretion. In addition to Nur Advisors’ other rights, Nur Advisors may terminate access to this site or cancel membership to any service that Nur Advisors provides on the site if User breaches this Agreement in any way or engages in conduct that Nur Advisors deems inappropriate. In the event of termination of this Agreement, the provisions in this paragraph and the provisions found in paragraphs 3, 4, 7, 8, 9, 11, 12, 14, and 15 shall survive.

14. ENFORCEMENT & CHOICE OF LAW
If any part of this Agreement is found to be invalid or unenforceable, such portion will be deemed severed and will not affect the enforceability of the remaining terms.

Any dispute arising out of this Agreement shall be governed by the laws of the State of Illinois, U.S.A, notwithstanding any conflicts of law principles. Any action relating to this Agreement must be filed and maintained in a state or federal court located in Illinois, State of Illinois, U.S.A., and each User consents to exclusive jurisdiction and venue in such courts for such purpose.

15. MISCELLANEOUS
This Agreement constitutes the entire agreement between Nur Advisors and User regarding the subject matter hereof. Any previous agreement, whether oral or written, between Nur Advisors and User dealing with the subject matter hereof is superseded.

Upon User’s breach of this Agreement, Nur Advisors may pursue any legal or equitable remedy available, including but not limited to, direct, consequential, and punitive damages as well as injunctive relief. Nur Advisors’ remedies are cumulative and not exclusive. Failure of Nur Advisors to exercise any remedy or enforce any portion of this Agreement at any time shall not operate as a waiver of any remedy or of the right to enforce any portion of the Agreement at any time thereafter.

User agrees that, regardless of any statute or law to the contrary, any claim or action arising out of or regarding this Agreement must be filed within one (1) year after such claim or cause of action arose or be forever barred.

Nur Advisors makes no representation that the content of the site is appropriate or available for use in all locations.

Users are responsible for compliance with all applicable local laws.
